The General Assembly is the meeting of all the eligible members of the Society, called by the Board. It is called at least once each year.

The General Assembly has the following powers:

  • to approve the budget and accounts;
  • to approve membership fees;
  • to appoint or revoke Directors;
  • to approve the accounts of the Association established for the previous fiscal year;
  • to grant discharge to the Directors for performance of their duties;
  • to modify the Articles of Association as provided in these Articles of Association;
  • to decide on the dissolution of the Association as provided in these Articles of Association;
  • to appoint an auditor;
  • to grant discharge to the auditor for the performance of his/her duties.

The Board of Directors is responsible for the strategy planning, property and funds management of the Association.

Each Director shall be member of the Executive Council and/or the Scientific Council and/or the Education Council and/or the Stakeholders Council.

Ad hoc and standing committees may be created, their missions determined, and composition approved, by the Board of Directors, upon propos­al of the Scientific Council, the Stake­holders Council, the Education Council or the Executive Council within the lim­its of the competences of the latter.

On specific tasks or projects or to provide needed advisory services, the Board of Directors decide the creation of Councils and delegate its daily competencies, excluding strategic decisions.

The Councils shall follow up on the strategy and budget implementation as decided by the Board of Directors.

The members of the Councils are ap­pointed by the Board of Directors, according to the rules defined in the Articles of the Society.
